1. Scope of These Terms
These Terms of Use (“Terms”) govern access to and use of the Coine Industries, LLC corporate website at coineindustries.com (the “corporate website”). The corporate website provides corporate and informational material concerning Coine Industries and the technology products and ventures it develops and operates.
The corporate website may introduce and link to separate products developed or operated by Coine Industries. Those products may have their own terms of use, terms of service, privacy policies, customer agreements, subscription agreements, or other product-specific terms. Where such product-specific terms are provided, they govern use of the applicable product or product website.
These Terms are not a customer agreement for RampartQMS or any other current or future Coine Industries software product. If a product-specific agreement conflicts with these Terms with respect to use of that product, the product-specific agreement controls for that product.
2. Agreement to These Terms
By accessing or using the corporate website, you agree to comply with these Terms as they apply to your use of the website. If you do not agree with these Terms, please do not use the corporate website.
These Terms are published on the corporate website and linked in the website footer. They describe the conditions on which the informational content of the website is made available. The corporate website does not include an account registration, checkout, or other assent workflow, and nothing here should be read as a representation that you have signed or separately executed these Terms.
3. Purpose of the Corporate Website
The corporate website is intended to provide general information concerning:
- Coine Industries, LLC as a company
- the company’s technology activities
- software products and ventures developed or operated by Coine Industries
- business contact information
- other appropriate corporate information
The corporate website itself does not currently provide:
- a software account or user login
- a customer dashboard or customer portal
- a paid subscription
- payment processing
- e-commerce purchasing
- a license to use any Coine Industries software product
This section describes the corporate website only. Separately operated Coine Industries product websites may provide functions of that kind under their own applicable terms.
4. Informational and Product Content
Information published on the corporate website is provided for general informational purposes. Product descriptions, concepts, development status, planned functionality, specifications, and availability information may change as products are developed, updated, or discontinued. This is particularly relevant for products described as currently in development.
Accordingly, informational material on the corporate website should not be characterized as a binding product roadmap, a guaranteed launch or availability date, a service-level commitment, a contractual product specification, a warranty, a quotation, an offer to sell, or a promise that a particular feature will be released.
Coine Industries intends the information it publishes to be accurate and not misleading; this section simply clarifies that preliminary or informational product material may evolve and is not itself a contractual commitment.
5. Intellectual Property
Materials made available on the corporate website may include text, graphics, branding, logos, images, design elements, layouts, software, source or object code delivered as part of the website, product names, and other content. Such materials are owned by Coine Industries, licensed to Coine Industries, or otherwise used lawfully, as applicable. Some materials appearing on the website may belong to third parties and be used under license or other lawful permission.
Applicable copyright, trademark, trade-dress, and other intellectual-property laws may protect these materials. References on the corporate website to “Coine Industries,” the Coine Industries logo, “RampartQMS,” and related names and designs are used as marks of Coine Industries; no statement here is a claim of federal trademark registration.
You may access the corporate website for lawful informational purposes. This includes ordinary browser use and reasonable printing or saving of website material for personal or internal business informational purposes, provided that copyright and other proprietary notices are not removed or altered.
You may not, without express written authorization from Coine Industries:
- commercially reproduce the corporate website or substantial portions of it
- republish, distribute, or sell website content
- create derivative branding that is misleading or confusingly similar
- remove or obscure copyright or other proprietary notices
- impersonate Coine Industries
- use Coine Industries names, logos, or branding in a manner suggesting endorsement, sponsorship, or affiliation
No license to Coine Industries trademarks, logos, or branding is granted except through express written authorization. All rights not expressly granted in these Terms are reserved.
6. Acceptable Use
In using the corporate website, you agree not to intentionally:
- violate applicable law through your use of the website
- attempt unauthorized access to the website, its systems, or connected systems
- circumvent security or access controls
- probe, scan, or test the vulnerability of the website without authorization
- introduce malware, malicious code, or other harmful material
- interfere with the availability or normal operation of the website
- overwhelm the website with abusive automated traffic
- impersonate Coine Industries or any other person
- misrepresent an affiliation with Coine Industries
- use the contact form for spam, harassment, phishing, fraud, or other abusive messages
- use automated systems to submit the contact form
- attempt to bypass Cloudflare Turnstile, honeypot protection, rate controls, or other anti-abuse measures used by the website
- harvest email addresses or other contact information for unsolicited messaging
- use automated scraping or extraction methods in a way that circumvents technical restrictions, disregards the website’s published robots directives, or places an unreasonable burden on the website
Ordinary search-engine indexing that complies with the website’s robots.txt file and other technical rules is permitted.
7. Security Reporting
If you reasonably believe you have identified a security vulnerability affecting the corporate website, please report it to security@coineindustries.com.
Please do not exploit a suspected vulnerability, publicly disclose it before it has been addressed, or use it to access data or systems without authorization. Coine Industries does not currently operate a bug-bounty program, does not offer compensation for reports, and has not adopted a separate safe-harbor policy for security research.
8. Contact Form and Communications
The corporate website includes a contact form intended for ordinary business inquiries, partnership discussions, product questions, and other legitimate communications.
You are responsible for the information you choose to submit. Please do not use the contact form to send unlawful content, malicious code, abusive material, or information you do not have the authority to provide.
Information about how contact-form submissions are handled is described in the Privacy Policy.
9. Confidential Information and Unsolicited Ideas
Unless Coine Industries has separately entered into a written confidentiality or nondisclosure agreement with you, information you submit through the public contact form or general corporate email channels is not automatically treated as confidential simply because it was submitted.
Please do not send trade secrets, highly sensitive proprietary information, confidential third-party information, or information subject to confidentiality restrictions through the general public contact form unless an appropriate agreement is already in place.
Coine Industries may review information voluntarily submitted through its general contact channels. Submission alone does not create a confidentiality, fiduciary, partnership, employment, agency, or professional-adviser relationship. Coine Industries is under no obligation to use an unsolicited idea or suggestion, and is not obligated to provide compensation merely because an unsolicited idea was submitted, unless separately agreed in writing. Submitting information through the contact form does not transfer ownership of your intellectual property to Coine Industries.
10. Privacy
The Privacy Policy describes how information associated with the corporate website and its contact form is handled. It is not duplicated here.
The corporate website Privacy Policy does not automatically govern separately operated Coine Industries product systems or product websites, which may publish their own privacy policies.
11. Coine Industries Product Websites
Some links on the corporate website lead to separate websites for products owned or operated by Coine Industries. RampartQMS is a Coine Industries product, not an unrelated third party.
When you follow a link to a separately operated Coine Industries product website, that product or website may have its own applicable legal terms, customer agreement, and privacy policy, which govern your use of that product or website.
12. Third-Party Links
The corporate website may also contain links to genuinely independent third-party websites or services. Coine Industries does not control the content or practices of those third-party sites, a link does not necessarily constitute endorsement, and those sites are governed by their own terms and privacy practices.
This section applies only to genuinely independent third parties. It does not disclaim responsibility for websites or products actually owned or operated by Coine Industries.
13. Website Availability and Changes
Coine Industries may modify website content, update the website’s design, correct errors, add or remove information, change links, and suspend or discontinue portions of the corporate website. Nothing in these Terms obligates Coine Industries to maintain the corporate website, or any particular content on it, indefinitely, and continuous or uninterrupted availability is not promised.
This section concerns the corporate website only and does not affect rights or obligations under a separate product, customer, or other written agreement with Coine Industries.
14. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the corporate website and its informational content are provided on an “as is” and “as available” basis.
To the fullest extent permitted by applicable law, and only to the extent such warranties may lawfully be disclaimed, Coine Industries disclaims implied warranties relating to the corporate website, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Coine Industries does not warrant that the corporate website will always be uninterrupted, that every item of content will always be error-free, that information will always be current, or that the website will be entirely free of technical defects or security threats.
This section does not disclaim obligations contained in a separate written agreement with Coine Industries, and does not attempt to disclaim any warranty or liability that applicable law does not permit to be disclaimed.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Coine Industries will not be liable for indirect, incidental, special, consequential, or — where exclusion is legally permitted — exemplary or punitive damages arising out of or relating to your access to or use of this free corporate website, including lost profits, lost revenue, business interruption, or loss resulting from reliance on non-contractual informational content published on the website.
Nothing in these Terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited, including liability for fraud or willful misconduct.
Separate product-specific or customer agreements may contain different warranty and liability provisions, and those provisions govern the applicable product relationship.
16. Indemnification
To the extent permitted by applicable law, you agree to indemnify Coine Industries against third-party claims, liabilities, losses, and reasonable expenses arising from:
- your unlawful misuse of the corporate website
- your material violation of these Terms
- content or information you submit that infringes another person’s rights
- malicious or unauthorized activity you conduct
This obligation does not extend to matters unrelated to your own conduct, or to claims arising from Coine Industries’ own unlawful conduct.
17. Dispute Resolution
These Terms do not contain a mandatory arbitration provision, a class-action waiver, or a jury-trial waiver. Disputes relating to the corporate website are subject to the governing law and forum provisions below.
If Coine Industries later offers customer-facing products involving accounts, subscriptions, or purchases, dispute-resolution provisions applicable to those relationships would be addressed in the applicable product terms with an appropriate assent mechanism.
18. Governing Law
These Terms and any dispute arising out of or relating to these Terms or the corporate website will be governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles, except to the extent applicable law provides rights that cannot lawfully be waived or altered by agreement.
19. Jurisdiction and Venue
To the extent permitted by applicable law, for disputes properly brought in court, the parties submit to the jurisdiction of the state courts located in the City of Virginia Beach, Virginia, and, where federal subject-matter jurisdiction exists, the United States District Court for the Eastern District of Virginia, Norfolk Division.
This section does not deprive you of a forum or remedy that applicable non-waivable law requires.
20. Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will apply only to the extent it is enforceable, and the remaining provisions will continue in effect to the fullest extent legally possible.
21. No Waiver
A failure by Coine Industries to enforce a provision of these Terms on one occasion does not waive the right to enforce that provision on another occasion.
22. Entire Agreement for Corporate Website Use
These Terms, together with any other policies expressly made applicable to the corporate website, constitute the agreement concerning use of the Coine Industries corporate website.
These Terms do not supersede any separately executed written agreement with Coine Industries — including product or customer agreements, nondisclosure agreements, employment agreements, vendor agreements, or partnership agreements — and each such agreement continues to govern its own subject matter.
23. Changes to These Terms
Coine Industries may update these Terms as the corporate website, business practices, or applicable requirements change. Revised Terms will be posted on this page with an updated effective date and will apply prospectively from that date.
Because the corporate website does not maintain a visitor notification system, individual notice of updates is not provided. Please review this page periodically.
